Authoritative Language. These Terms are drafted in English. Any translation is provided solely for convenience; the English version governs.
1.1 These Affiliate Program Terms (the “Terms”) govern the relationship between the Network and the applicant/participant affiliate or publisher (the “Publisher”).
1.2 The Network operates an affiliate network that connects Publishers with participating merchants (each, a “Merchant”).
1.3 The Network acts solely as an intermediary between Publishers and Merchants. All sales occur directly between the Merchant and the end customer.
“Program” means a Merchant’s campaign within the Network.
“Approved Transaction” means a tracked transaction validated by the Merchant and not cancelled/returned within the applicable window.
“Hold Period” means the default period of 30 days during which commissions remain pending.
“Locked” means a commission that has passed the Hold Period and is eligible for payout, subject to Merchant payment and set-off.
“Chargeback” means reversal of a previously credited commission due to return, cancellation, fraud, error, or Merchant non-payment.
“Lifetime Customer” means an end customer initially attributed to a Publisher and mapped to that Publisher thereafter by the Network.
“Active Vendor” means a Merchant that is an active participant in the Network Program at the time a transaction occurs.
3.1 Publisher must provide accurate and complete details and keep them updated.
3.2 The Network may conduct identity and AML/sanctions checks. Failure may result in suspension or termination.
3.3 Payouts may be withheld until verification is complete.
4.1 The parties are independent contractors. No agency, partnership, joint venture or employment is created.
4.2 Publisher has no authority to bind the Network or any Merchant.
5.1 Default attribution is last-click within 90 days via cookie.
5.2 Server-to-server tracking or coupon/referral codes may apply.
5.3 Ad blockers and similar technologies may impair tracking; the Network does not guarantee attribution in such cases.
6.1 Program-specific rates and rules are displayed in the Dashboard.
6.2 Commissions accrue only when: (a) a transaction is tracked, (b) approved by the Merchant, (c) survives the Hold Period, and (d) the Network receives cleared funds from the Merchant.
6.3 Commissions are Locked after the Hold Period, subject to adjustments.
6.4 Paid-When-Paid. The Network’s obligation to pay the Publisher is conditional upon prior receipt of cleared funds from the Merchant.
7.1 Concept. Publishers may earn commissions on subsequent Approved Transactions of their Lifetime Customers (“Lifetime Commissions”), provided that at the time of each such transaction:
7.2 Vendor Exit. If a Merchant ceases to be an Active Vendor, no further Lifetime Commissions accrue to Publishers for transactions with that Merchant after the effective date of such cessation.
7.3 Publisher Exit. If a Publisher’s participation ends (termination or suspension), no further Lifetime Commissions accrue from that date onward.
7.4 Adjustments. Returns, cancellations, chargebacks, errors, fraud or policy breaches void or reverse Lifetime Commissions.
7.5 Mapping. Lifetime mapping is based on the customer’s purchasing email address (hashed where applicable). The Network may supplement with platform-specific IDs for continuity.
8.1 Payouts occur monthly for Locked commissions, subject to Merchant payment.
8.2 Minimum payout €100 (or equivalent). Lower balances roll forward.
8.3 Payment methods: SEPA/SWIFT bank transfer or approved payment services.
8.4 Fees, FX, and intermediary costs are borne by the Publisher.
8.5 Negative balances may be carried forward or set off.
9.1 Dashboard provides reporting of activity, approvals, reversals and payouts.
9.2 Merchant records are prima facie evidence.
9.3 Disputes must be raised within 30 days.
10.1 Publisher is solely responsible for taxes in its jurisdiction.
10.2 VAT/reverse-charge rules may apply; Publisher must provide valid IDs.
10.3 The Network may withhold taxes where required.
11.1 Each party is an independent controller for its own processing.
11.2 Publisher must comply with data protection/cookie laws.
11.3 No special-category data shall be transmitted.
12.1 Prohibited practices include spam, fraud, malware, forced clicks, misleading claims, and unlawful incentives.
12.2 Publisher is solely responsible for legal compliance of its channels.
13.1 The Network and Merchants retain rights in their trademarks, creatives, and materials.
13.2 Publisher has a limited, revocable license to use approved creatives.
All non-public information (rates, conversions, reports) is confidential and may not be disclosed, except as required by law.
15.1 The Network may suspend or terminate at any time for cause or convenience.
15.2 On termination, only Locked commissions may be paid, subject to Merchant payment.
16.1 Neither party is liable for indirect, special, or consequential damages.
16.2 The Network’s total liability is capped at the commissions paid in the last 3 months.
These Terms are governed by the laws of Gibraltar. Exclusive jurisdiction lies with the courts of Gibraltar.
18.1 The Network may amend these Terms by posting updates; continued participation constitutes acceptance.
18.2 If any provision is invalid, the rest remains effective.
18.3 Failure to enforce a provision is not a waiver.
19.1 As part of the Network’s services, the Publisher will receive Program Information via email and, where applicable, via messaging services such as Telegram. Program Information includes but is not limited to details of new merchants, campaigns, commission changes, action packages, and pre-prepared, conversion-optimized promotional materials.
19.2 Such communication is considered an integral part of the Network service and is provided for the Publisher’s benefit to enable efficient promotion of Merchant programs. It does not constitute third-party advertising.
19.3 Delivery is irregular and needs-based, depending on new campaigns, actions, and network requirements.
19.4 The Publisher may opt out at any time by using the unsubscribe link in each email or by leaving the relevant messaging group/channel. Opt-outs are channel-specific.
19.5 By registering with the Network, the Publisher agrees to the receipt of Program Information as described herein.

Wir verarbeiten personenbezogene Daten zweckgebunden, datensparsam und auf klaren Rechtsgrundlagen. Endkundendaten der Vendor-Shops (z. B. Fungaia) verarbeiten wir nicht; für Abrechnung/Zuordnung erhalten wir ausschließlich pseudonyme Bestellreferenzen (z. B. Order-ID, Affiliate-ID, Warenkorbwert, Zeitstempel). Fingerprinting/IP-Matching verwenden wir nicht.

Wir übermitteln keine Endkundendaten an Dritte; für Abrechnungen verarbeiten wir nur pseudonyme Referenzen.
Beim Self-Hosting in DE/EU erfolgen durch den Plattformbetrieb keine Drittlandübermittlungen. Sollten künftig Cloud-Dienste außerhalb EU/EWR eingesetzt werden, sichern wir EU-Standardvertragsklauseln (SCC) und geeignete Zusatzmaßnahmen ab und informieren hier.
Für die Affiliate-Teilnahme sind Mindestangaben erforderlich (Name, E-Mail, Auszahlungsmittel, Steuerdaten). Ohne diese Angaben ist eine Abrechnung rechtlich nicht möglich.
Wir verarbeiten auf der Plattform keine besonderen Kategorien i. S. v. Art. 9 DSGVO und keine Endkundendaten (Name, Adresse, Zahlungsdetails verbleiben beim Vendor/Shop).
Es findet keine Entscheidung i. S. v. Art. 22 DSGVO statt. Automatisierungen betreffen ausschließlich die technische Zuordnung und Abrechnung.
Zugriffs-/Rollenrechte, starke Passwörter/2FA (sofern verfügbar), verschlüsselte Übertragung (TLS), Systemhärtung/Updates, Backups, AVV-Kontrollen, Need-to-know-Prinzip, Lösch-/Sperrkonzepte.
Sie haben – im gesetzlichen Rahmen – Auskunft, Berichtigung, Löschung, Einschränkung, Datenübertragbarkeit sowie Widerspruch gegen Verarbeitungen auf Grundlage von Art. 6 Abs. 1 lit. f DSGVO und Widerruf erteilter Einwilligungen (Art. 7 Abs. 3 DSGVO).
